ABOUT IOD

Institute Of Directors (IOD) was established in India on 12 July 1990, as a ‘not for profit’, apex association of Directors under the India's 'Societies Registration Act XXI of 1860' to improve their professional competence. It has since grown to associate with more than 31,000 senior executives from Govt, PSU and Private organisations. IOD organises a number of international events each year, in India and certain other select countries at UK, UAE and Singapore.

From the personal development of directors, IOD soon embraced the role of Corporate Governance and boardroom development, followed by organisation-wide transformation as a whole. It consolidated its position further through MOUs, with related associations globally. IOD publishes a number of professional books, handbooks, and periodicals throughout the year, to keep the directors updated.

IOD's 'Masterclass for Directors' set up in 2003, covers training in corporate directorship, and 'Golden Peacock Awards' in 15 different corporate functional disciplines, and other flagship initiatives aim to improve the competitiveness of individual directors and their organisations. The 'Masterclass', is a condensed programme for top management, and also prepares participants for the role of ‘Independent Director’ of companies. No business award today, receives the kind of recognition and adulation among peers that ‘Golden Peacock’ does. Both ‘Masterclass for Directors’ and ‘Golden Peacock Awards’ have become global benchmarks, and badges of excellence.

IOD has also setup two special wings; 1st called 'Organisation for Non-Executive Independent Directors' (ONEID), mandated to look after the training, placement and networking of Independent Directors, and the second to look after governance and training of MSMEs. IOD's 'Board Research and Advisory' wing provides specialised advisory services, in the areas of ‘National Surveys’ and ‘Corporate Studies’, Board & Directors' Performance Evaluation and Corporate Governance Compliances.

IOD's activities extend from training, publications, and monthly lectures to workshops and Global networking through national and international directors Conventions, on issues such as Risk Management, Corporate Ethics, Leadership, Quality, Environment, Climate Change, Occupational Health and Safety, Corporate Governance, Cyber Security, Competition Law, Sustainability and Corporate Social Responsibility etc.

Prime focus of IOD is sharing present global practices & emerging trends for the crisis-ready ‘Boards of The Future’, and ‘Board Ready Directors’.

IOD forums try to transform the corporate psyche by demonstrating how ethical, responsible, transparent and equitable agenda can become the competitive advantage. It has redefined Sustainability. The wide networking and extended dialogue opportunities that it’s national & international conferences held in India and abroad provide to the fraternity of business, industry and governments are valued most by the participants.

One of the prime initiatives of IOD has been the institution of Golden Peacock Awards for corporate leadership and institutional excellence which, over time, have become a hallmark of excellence, both locally and globally. Based on internationally recognized criteria, the credibility of these awards lies in the transparency depth and impartiality of the assessment process. No other Business Award today receives the kind of recognition and adulation among peers, that Golden Peacock does. Hon'ble Justice M. N. Venkatachaliah, Chairman, Institute Of Directors and former Chief Justice, Supreme Court of India is the Chairman of the Golden Peacock Awards. Justice (Dr.) Arijit Pasayat, former Judge, Supreme Court of India and former Chairman, Competition Appellate Tribunal & Authority for Advance Ruling (Customs, Central Excise & Service Tax) is the Co-Chairman of the Golden Peacock Awards. The Global Awards are finalized by a Jury headed by Rt. Hon. Sir Richard Needham (The Earl of Kilmorey PC), Non-Executive Director, NEC Europe Ltd. & Chairman-Advisory Group, STERN UK.

These Annual Awards, 15 National and 3 Global, have a meticulously defined and transparent selection criterias, and are determined by a highly elaborate and independent three layer assessment process. Any organization, large, medium or small, in manufacturing or service sector, in government, public or private sector, research organizations and NGOs are eligible to apply for these awards. The Individual Leadership Awards are based on service profile and national achievements, and determined through nominations only.

Since 1990, the Institute Of Directors has promoted International cooperation and awareness on boardroom through various international & national conferences, training programmes, and a wide range of publications, books, hand books, winners' digest and it’s in-house monthly journal-‘Quality Times’, which has since upgraded to ‘Directors Today’.

India's the new Company Law clearly lays down the mandate of having 33 to 50% independent directors on each listed company board. This highlights the urgency for trained and certified independent directors including women, ensuring can dour, transparency, equity, accountability, integrity and social responsibility in corporate decision-making. IOD 'Masterclass for Directors’ covers the training for corporate directorship to raise the standards of India’s boardroom functioning. The intense 3-day 'Masterclass' programme also prepares participants to be placed in the panel of Independent Directors. Moving from the personal development of Directors, IOD has now embraced boardroom development as a whole, for organization-wide transformation. IOD has by now trained thousands of senior corporate executives through courses, workshops, seminars and conferences, organized globally on Management, governance, environment and leadership. It has today impacted, where the change for betterment emanates from. It stands as an unparalleled catalyst in the process of innovation and leadership to face the turbulent business of tomorrow’s world.

MISSION

To lead social, environmental and economic transformation, through visionary and holistic awareness of boardroom strategies and practices by focusing on issues of Good Governance, Transparency and Accountability for brand building and leadership.

OBJECTIVES

IOD's Principal Objectives are:

  • Be the Apex association of Company Directors in India, reinforcing the business and industry commitment to Quality, Environment Management and Corporate Governance.
  • Provide information, advisory and consultative services on corporate issues - mainly Director Training, Boardroom practices, Corporate Governance, CSR, Quality and Sustainable Development – to industry, business and Government.
  • Promote international cooperation on all issues relating to good Boardroom practices, Corporate Governance, Quality, Environment, Sustainability and Director‘s Responsibilities.
  • Meet training needs and management of placement panels for Independent Directors.

ROLE

IOD's Primary Role is two-fold :

Representational: Focusing on issues relating to corporate Directors (including Independent Directors), in government, public and private sectors, in appropriate fora.
Developmental: Professional development of Directors and honing their skills (including Independent Directors) and other top executives.
